3. Client Responsibilities

As a client, you agree to:

• Provide Designtalks with accurate and complete information necessary for the completion of services.
• Cooperate and respond promptly to any communication or requests for clarification from Designtalks.
• Ensure that all content provided for your website or digital marketing campaigns (including text, images, videos, etc.) is either owned by you or properly licensed.
• Adhere to applicable laws and regulations concerning your business and online presence.

4. Payment and Fees

• Fees for the Services will be agreed upon in writing (either in a proposal, quote, or contract) before the work begins.
• Payments are due as specified in the contract. Designtalks may require an upfront deposit, with the balance due upon completion or according to agreed milestones.
• Invoices will be sent via email or other agreed methods. Payments must be made within the time frame specified in the invoice.
• Late payments may incur a late fee or interest charges at the rate of [insert percentage]% per month.
• If a client fails to make timely payments, Designtalks reserves the right to suspend or terminate Services until the outstanding balance is paid.

5. Intellectual Property

• Upon full payment of all outstanding fees, clients will have full ownership of the final website design and content created by Designtalks.
• Designtalks retains the right to use any materials, design elements, or content created for promotional purposes (e.g., portfolio display, case studies, or marketing).
• Clients are responsible for securing all rights to the content they provide to Designtalks (including images, logos, trademarks, etc.) and for ensuring that such content does not infringe on third-party intellectual property rights.

6. Confidentiality

Both Designtalks and the client agree to keep all confidential information (including but not limited to business data, website designs, marketing strategies, etc.) confidential and not to disclose it to any third party without prior written consent.

7. Termination

• Either party may terminate the Agreement with written notice if the other party breaches any material term of the Agreement and fails to rectify the breach within [7] days.
• Designtalks may also terminate the Agreement if the client fails to make timely payments or does not cooperate in providing necessary information for project completion.
• Upon termination, the client will be responsible for payment for any work completed up to the point of termination.

8. Limitation of Liability

• Designtalks will make reasonable efforts to provide high-quality services. However, we cannot guarantee that the services will be error-free, or that your website will be immune from hacking, viruses, or other security threats.

• Designtalks will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website or digital marketing services, including loss of profits, data, or business opportunities.

9. Dispute Resolution

• In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the parties will first attempt to resolve the matter amicably through informal negotiations.
• If the dispute cannot be resolved within [insert number] days, the dispute shall be referred to binding arbitration under the laws of South Africa, with the seat of arbitration being Johannesburg.

10. Governing Law

13. Force Majeure
